Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NPPE Vault website and services (collectively, the "Service") operated by NPPE Vault ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age or the age of majority in your province or territory of residence, whichever is greater, to use the Service. By using the Service, you represent that you meet this requirement.

2. Your Account

To access certain features, you must create an account by providing your name and email address. You agree to:

• Provide accurate, current, and complete information.
• Keep access to your account secure. You are responsible for all activity under your account.
• Notify us promptly if you suspect unauthorized access to your account.

You sign in using secure links sent to your email address, so you are responsible for maintaining access to that email account. Accounts are for individual use and may not be shared.

3. The Service

NPPE Vault provides practice exam questions to help users prepare for Canada's National Professional Practice Examination (NPPE). The Service is offered in two tiers:

• Free: a limited selection of practice content at no charge.
• Pro: access to the full library of practice exams, purchased with a one-time payment.

We may add, change, or remove content and features from time to time, including which content is included in each tier.

4. Important Disclaimers About Exam Content

NPPE Vault is an independent study resource. We are not affiliated with, endorsed by, or connected to Engineers Canada, any provincial or territorial engineering or geoscience regulator (including PEO, APEGA, EGBC, OIQ, or any other association), or the administrators of the official NPPE.

Our practice questions are original and are not taken from actual NPPE examinations. They are designed to help you study the subject areas covered by the NPPE, but:

• We do not guarantee that our questions reflect the format, difficulty, or content of the actual NPPE.
• We do not guarantee that using the Service will result in passing the NPPE or any other examination.
• Our content is for study purposes only and is not legal or professional advice.
• Our materials are a supplementary study aid and should not be your only method of preparation.

5. Intellectual Property

All content on the Service, including practice questions, explanations, text, graphics, logos, and software, is owned by NPPE Vault or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws. We grant you a limited, personal, non-transferable licence to use the Service for your own exam preparation.

You may not:

• Copy, reproduce, distribute, or publicly display any content from the Service.
• Scrape, crawl, or use automated means to extract content from the Service.
• Share your account or Pro content with others.
• Create derivative works based on our content.
• Use the content for any commercial purpose without our written consent.

6. Your Content

You may submit content to the Service, such as reports about questions, reviews, ratings, and feedback. You keep ownership of what you submit, and you grant us a non-exclusive, royalty-free, perpetual licence to use, store, and display it in connection with operating and improving the Service. We publish a review only if you agree to its publication when you submit it.

You agree that your content will be honest, will not be unlawful, defamatory, or offensive, and will not reveal confidential information about other people. We may moderate, decline to publish, or remove any content at our discretion. If you send us suggestions or feedback, we may use them without any obligation to you.

7. Payments and Refunds

Pro access is purchased with a one-time payment, processed securely by our third-party payment processor. We do not store your payment card details. All prices are in Canadian dollars (CAD) unless otherwise stated.

• Access: Pro access is granted as soon as your payment is confirmed. It does not expire or renew, and remains available for as long as we offer the Service.
• Refunds: Because digital content is delivered immediately on purchase, refunds are generally not available. If a technical issue prevents you from accessing content you purchased, contact us within 14 days of purchase and we will work to resolve it or provide a refund at our discretion.
• Taxes: You are responsible for any applicable taxes, including GST/HST and provincial sales taxes, which may be added to the purchase price as required by law.
• Prices: We may change our prices at any time. Price changes do not affect purchases already made.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Interfere with or disrupt the Service or the servers or networks connected to it.
• Upload or transmit malware, viruses, or other harmful code.
• Impersonate any person or entity, or misrepresent your affiliation with anyone.
• Use bots, scrapers, or other automated systems to access the Service.

9. Suspension and Termination

We may suspend or terminate your account and access to the Service, with or without notice, if we reasonably believe you have violated these Terms. You may stop using the Service and ask us to delete your account at any time. Upon termination:

• Your right to access the Service ends immediately.
• We are not obligated to refund any amounts previously paid, except where required by law.
• Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The content is accurate, complete, reliable, or current.
• Any defects or errors will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NPPE Vault and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from your use of the Service will not exceed the amount you paid us in the twelve (12) months before the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless NPPE Vault and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.

13. Third-Party Services and Links

The Service relies on third-party providers, and may link to third-party websites such as those of engineering regulators. We are not responsible for third-party websites or services, and your use of them is governed by their own terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved as follows:

1. Negotiation: The parties will first try to resolve the dispute through good-faith negotiation.
2. Mediation: If negotiation fails within 30 days, the dispute will be submitted to mediation with a mutually agreed mediator in Ontario, Canada.
3. Litigation: If mediation fails, either party may bring a claim in the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Service before they take effect. Your continued use of the Service after that date means you accept the revised Terms.

16. Consumer Protection

Nothing in these Terms limits or excludes any rights you have under applicable Canadian federal or provincial consumer protection legislation, including the Consumer Protection Act, 2002 (Ontario) or equivalent legislation in your province or territory. Where any provision of these Terms conflicts with mandatory consumer protection laws, those laws prevail.

17. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and NPPE Vault regarding the Service and replace all prior agreements and understandings.
