Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NPPE Vault website and services (collectively, the "Service") operated by NPPE Vault ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age or the age of majority in your province or territory of residence, whichever is greater, to use this Service. By using the Service, you represent and warrant that you meet this requirement.

2. Account Registration

To access certain features, you must create an account by providing your name and email address. You agree to:

• Provide accurate, current, and complete information.
• Keep your account credentials secure. You are responsible for all activity under your account.
• Notify us promptly if you suspect unauthorized access to your account.

We use passwordless authentication via email magic links. You are responsible for maintaining access to the email address associated with your account.

3. Description of the Service

NPPE Vault provides practice exam questions designed to help users prepare for Canada's National Professional Practice Examination (NPPE). The Service includes:

• Free tier: Access to one practice exam at no charge.
• Pro tier: Access to all practice exams, purchased via a one-time payment.

4. Important Disclaimers About Exam Content

NPPE Vault is an independent, third-party study resource. We are not affiliated with, endorsed by, or connected to Engineers Canada, any provincial or territorial engineering regulator (including PEO, APEGA, EGBC, OIQ, or any other association), or the administrators of the official NPPE.

Our practice questions are original and are not sourced from, based on, or representative of actual NPPE examination questions. The content is designed to help you study the subject areas covered by the NPPE but:

• We do not guarantee that our questions reflect the format, difficulty, or content of the actual NPPE.
• We do not guarantee that using this Service will result in passing the NPPE or any other examination.
• Our materials are a supplementary study aid and should not be your sole method of preparation.

5. Intellectual Property

All content on the Service, including but not limited to practice questions, explanations, text, graphics, logos, and software, is the property of NPPE Vault or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, reproduce, distribute, or publicly display any content from the Service.
• Scrape, crawl, or use automated means to extract content from the Service.
• Share your account access or Pro content with others.
• Create derivative works based on our content.
• Use the content for any commercial purpose without our written consent.

6. Payments and Refunds

Pro tier access is purchased through a one-time payment processed by Stripe. All prices are listed in Canadian dollars (CAD) unless otherwise stated.

• Payment processing: Payments are processed securely by Stripe, Inc. We do not store your payment card details. Stripe's use of your data is governed by Stripe's Privacy Policy.
• Access: Upon successful payment, Pro access is granted immediately and remains active indefinitely.
• Refunds: Because digital content is delivered immediately upon purchase, refunds are generally not available. However, if you experience a technical issue that prevents you from accessing the content you purchased, contact us within 14 days of purchase and we will work to resolve the issue or provide a refund at our discretion.
• Taxes: You are responsible for any applicable taxes, including GST/HST and provincial sales taxes, which may be added to the purchase price as required by Canadian law.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Interfere with or disrupt the Service or the servers or networks connected to it.
• Use the Service to transmit any malware, viruses, or harmful code.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation.
• Use any automated system (bots, scrapers, etc.) to access the Service.

8. Account Suspension and Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. Upon termination:

• Your right to access the Service ceases immediately.
• We are not obligated to provide a refund for any amounts previously paid.
• Provisions of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and indemnification).

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The content is accurate, complete, reliable, or current.
• Any defects or errors will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NPPE Vault and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless NPPE Vault and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through the following process:

1. Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation.
2. Mediation: If negotiation fails within 30 days, the dispute shall be submitted to mediation administered by a mutually agreed-upon mediator in Ontario, Canada.
3. Litigation: If mediation fails, either party may bring a claim in the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

14. Consumer Protection

Nothing in these Terms is intended to limit or exclude any rights you may have under applicable Canadian federal or provincial consumer protection legislation, including the Consumer Protection Act, 2002 (Ontario) or equivalent legislation in your province or territory. To the extent any provision of these Terms conflicts with mandatory consumer protection laws, the consumer protection laws shall prevail.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NPPE Vault regarding the Service and supersede all prior agreements and understandings.
